These Terms of Service ("Terms") govern your access to and use of the MarketIntell platform, API, and related services (collectively, the "Service") operated by [COUNSEL: INSERT LEGAL ENTITY NAME] ("MarketIntell," "we," "us," or "our"). 1. Service Description

MarketIntell is an AI analyst desk for stocks, options, and crypto. We aggregate data from multiple third-party sources and use large language models to provide market analysis, research assistance, and — when you enable it — automated or user-approved trade execution through connected brokerage accounts.

Depending on your settings and tier, the Service may:

  • Return informational analysis and structured trade setups (direction, entry, stop, targets).
  • Propose trade intents for your review.
  • Place real orders at connected brokers or on-chain venues when you approve an intent or enable auto-execution.
  • Store encrypted broker credentials and, for certain crypto spot workflows, custodied agent-wallet keys that the Service uses to sign transactions on your behalf.

The Service is not a registered broker-dealer, investment adviser, commodity trading advisor, or exchange. We provide software that interfaces with third-party brokers and protocols you connect. You remain responsible for all trading decisions and for authorizing any order the Service places.

1A. Broker Connections, Execution & Custody

Broker connections. To execute trades, you connect one or more third-party brokers or on-chain execution paths (e.g., Alpaca, Coinbase Advanced, Kraken, Hyperliquid, crypto spot on Base). You authorize MarketIntell to use stored credentials or protocol permissions solely to carry out intents you approve or auto-execution you enable.

Credential storage. We store broker API tokens, OAuth refresh tokens, wallet addresses, and — where applicable — encrypted private keys for agent wallets in our database. Keys are encrypted at rest; plaintext secrets are not returned after initial provisioning except where a one-time display is technically required.

Custody models vary by broker path:

  • OAuth brokers (Alpaca, Coinbase, Kraken): funds remain in your brokerage account; we act via API.
  • Hyperliquid agent wallet: you approve an on-chain agent; our server signs as that agent under protocol rules.
  • Crypto spot (Base) agent wallet: we generate and hold the agent wallet private key (encrypted); our server signs swaps and withdrawals. Funds sit in a dedicated agent wallet you fund, withdrawable to your designated address. This path is custodial — not non-custodial.

Live trading gate. Real-money execution may require explicit admin approval of a trade:live capability on your API key. Approving an intent or enabling auto-execution constitutes your instruction to place the order described.

No guarantee of fills, prices, or stops. Orders are subject to broker, network, and market conditions. Stops, take-profits, and policy limits may not execute as expected. You may lose some or all of your invested capital.

2. Accounts & API Keys

To use MarketIntell, you must create an account. Upon signup, you will be issued an API key. This key is your sole credential for authenticating with the Service.

  • Your API key is shown once at creation. We do not store the plaintext key.
  • You are solely responsible for keeping your API key secure and confidential.
  • Any activity conducted using your API key is your responsibility.
  • If you believe your key has been compromised, revoke it immediately and generate a new one.

3. Tiers & Pricing

MarketIntell offers four tiers — Free, Builder, Pro, and Enterprise — differentiated by daily query allowance, model depth, and access to premium surfaces (live alpha feed, deep-research mode, the agent scheduler, broker execution). Current pricing, allowances, and included features are published at /pricing and authoritative machine-readable form at GET /v1/billing/plans on the API. Marketing pages and these Terms are derived from the same single source of truth (apps/api/src/lib/plans.ts); if those documents disagree, the API response is canonical.

We reserve the right to modify rate limits, quotas, plan structures, and pricing at any time. Material changes affecting existing customers will be communicated at least 14 days in advance via the Service or via the email associated with your account, and will not be applied retroactively to a billing cycle already invoiced. Promotional or trial pricing terms are described on the offer itself and end automatically without further notice.

Paid subscriptions are billed in advance via Stripe. You may downgrade or cancel at any time; downgrades take effect at the end of the current billing period. Refunds for unused time are not provided except where required by applicable law.

4. Acceptable Use

You agree not to:

  • Use automated tools, bots, or scripts to scrape or systematically extract data from the Service beyond normal API usage.
  • Resell, redistribute, or sublicense data obtained from MarketIntell without prior written consent.
  • Use the Service for any illegal activity, including but not limited to market manipulation, fraud, or money laundering.
  • Use the Service to execute trades in jurisdictions where you are not permitted to trade, or in violation of sanctions or export-control laws.
  • Attempt to circumvent rate limits, authentication, or security measures.
  • Interfere with the operation or integrity of the Service.
  • Misrepresent MarketIntell's output as licensed financial advice.

5. Intellectual Property

MarketIntell owns all rights, title, and interest in the platform, including its software, design, branding, and proprietary algorithms.

You retain ownership of your queries and any original content you input into the Service. By using the Service, you grant us a limited, non-exclusive license to process your queries for the purpose of providing and improving the Service.

6. Data Sources & Accuracy

MarketIntell aggregates data from third-party providers across the following categories:

  • Market data providers (price, volume, order books)
  • Derivatives data (open interest, funding, options flow, liquidations)
  • Fundamental data (earnings, filings, insider activity)
  • On-chain analytics (wallet flows, holder cohorts, network usage)
  • Social and prediction-market data
  • Macroeconomic data
  • AI model providers (OpenAI, Anthropic)

Data is not guaranteed to be accurate, complete, or current. Third-party data may contain errors, delays, or omissions. AI models may produce incorrect or hallucinated information. Always verify critical data from primary sources before acting on it.

7. Disclaimer — Not Financial Advice

MarketIntell does not provide financial, investment, tax, or trading advice. The information provided by the Service — including AI-generated analysis, data summaries, and market insights — is for informational and educational purposes only. It should not be construed as a recommendation to buy, sell, or hold any asset.

Past performance is not indicative of future results. Crypto assets are highly volatile and carry significant risk. You may lose some or all of your investment.

Approving a trade intent, enabling auto-execution, or connecting a broker constitutes your authorization for MarketIntell to transmit orders you direct. Structured trade setups are not recommendations.

8. Limitation of Liability

To the maximum extent permitted by applicable law, MarketIntell and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or trading losses, arising out of or in connection with your use of the Service.

The Service is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

In no event shall our total liability exceed the amount you have paid us (if any) in the twelve (12) months preceding the claim.

9. Termination

We may suspend or terminate your access to the Service at any time, with or without notice, for conduct that we believe violates these Terms or is harmful to the Service, other users, or third parties.

You may stop using the Service at any time by revoking your API key. Upon termination, your right to use the Service ceases immediately.

10. Changes to These Terms

We may update these Terms from time to time. When we do, we will revise the "Last updated" date at the top of this page. Your continued use of the Service after any changes constitutes acceptance of the updated Terms.

For material changes, we will make reasonable efforts to notify you via the Service interface or email (if you have provided one).

11. Governing Law & Dispute Resolution
